1. Introduction
1.1 These Terms and Conditions (“Terms”) govern the provision of business consulting services (“Services”) by Eagle PAM Consulting Ltd (“Company”, “we”, “our”, “us”) to any client (“Client”, “you”, “your”).
1.2 By engaging our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
2. Scope of Services
2.1 The Company provides consulting, advisory, and related services as agreed in writing with each Client.
2.2 The specific scope, deliverables, timelines, and fees will be outlined in a separate Engagement Letter, Proposal, or Service Agreement, which shall form part of these Terms.
3. Fees & Payment
3.1 All fees will be agreed in advance and stated in writing.
3.2 Payments must be made within 30 days of the invoice date, unless otherwise agreed.
3.3 Late payments may be subject to interest at the statutory rate under Cypriot law.
3.4 All fees are exclusive of VAT and any applicable taxes, which shall be payable by the Client.
4. Client Responsibilities
4.1 The Client agrees to provide accurate, complete, and timely information necessary for the Company to perform the Services.
4.2 The Client is responsible for implementing any recommendations and remains solely responsible for business decisions made.
5. Confidentiality
5.1 Both parties agree to keep confidential all information obtained in the course of the engagement, except where disclosure is required by law or regulatory authority.
5.2 This obligation of confidentiality shall survive the termination of the engagement.
6. Limitation of Liability
6.1 The Company will provide the Services with reasonable skill and care but makes no guarantee of specific results.
6.2 To the fullest extent permitted by law, the Company shall not be liable for:
- (a) Indirect or consequential losses;
- (b) Loss of profits, revenues, or business opportunities;
- (c) Any decisions made by the Client based on our advice.
6.3 The Company’s total liability in respect of any claim shall not exceed the total fees paid by the Client for the Services giving rise to the claim.
7. Intellectual Property
7.1 All reports, documents, or materials created by the Company remain its intellectual property unless expressly agreed otherwise in writing.
7.2 The Client is granted a non-exclusive, non-transferable licence to use such materials for internal business purposes only.
8. Termination
8.1 Either party may terminate the engagement by giving 30 days written notice.
8.2 The Company may terminate immediately if the Client fails to pay fees, breaches these Terms, or engages in unlawful activity.
8.3 Upon termination, the Client must pay for all Services rendered up to the date of termination.
9. Data Protection
9.1 The Company will process personal data in accordance with the General Data Protection Regulation (GDPR) and Cypriot data protection laws.

10. Governing Law & Jurisdiction
10.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus.
10.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of Cyprus.
11. Miscellaneous
11.1 These Terms, together with any Service Agreement or Proposal, constitute the entire agreement between the parties.
11.2 If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
11.3 No failure or delay in exercising any right shall constitute a waiver of that right.
